Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and Quad Quality Products Limited, doing business as Quad Quality, concerning your access to and use of our website and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use our services.

Services Description

Quad Quality provides professional computer systems design and related technical services, including but not limited to:

• Computer integrated systems design and implementation
• Custom software development
• Cloud infrastructure solutions
• Technical consulting services
• System architecture and engineering
• Technical support and maintenance

Specific services, deliverables, timelines, and pricing will be outlined in separate service agreements or statements of work.

Use of Services

Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our services. By using our services, you represent and warrant that you meet these requirements.

Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit any harmful or malicious code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our services
• Use our services for any fraudulent or illegal purpose
• Impersonate any person or entity
• Collect or harvest information about other users

Intellectual Property Rights

Our Intellectual Property

All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, software, and designs, are owned by Quad Quality or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Client Intellectual Property

Unless otherwise specified in a separate agreement, you retain ownership of any intellectual property you provide to us. You grant us a license to use such materials solely for the purpose of providing our services to you.

Work Product

Ownership of work product created under our services will be specified in the applicable service agreement. Typically, upon full payment, ownership of custom-developed solutions transfers to the client, while we retain rights to our pre-existing tools, methodologies, and general knowledge.

Service Agreements and Payment Terms

Engagement Terms

Specific project terms, including scope, deliverables, timelines, and pricing, will be documented in separate service agreements or statements of work. These documents, together with these Terms of Service, constitute the complete agreement between the parties.

Payment

Payment terms will be specified in the applicable service agreement. Unless otherwise stated:

• Invoices are due within 30 days of the invoice date
• Late payments may incur interest charges
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise specified

Changes to Scope

Any changes to the agreed-upon scope of work must be documented in writing and may result in adjustments to pricing and timelines.

Warranties and Disclaimers

Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. Any specific warranties will be outlined in the applicable service agreement.

Disclaimer

Except as expressly stated in a service agreement, our services are provided on an as-is and as-available basis. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, Quad Quality shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to our services.

Our total liability for any claims arising from our services shall not exceed the amount paid by you for the specific services giving rise to the claim during the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Quad Quality and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to your use of our services, violation of these Terms, or infringement of any rights of another party.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our engagement. This obligation survives the termination of our services.

Confidential information does not include information that:

• Is or becomes publicly available through no breach of this agreement
• Was rightfully in the receiving party's possession prior to disclosure
• Is independently developed without use of the confidential information
• Is required to be disclosed by law or court order

Term and Termination

Term

These Terms remain in effect while you use our services or access our website.

Termination

Either party may terminate a service engagement as specified in the applicable service agreement. We reserve the right to suspend or terminate your access to our services immediately if you breach these Terms.

Effect of Termination

Upon termination, you must cease all use of our services. Provisions that by their nature should survive termination, including intellectual property rights, confidentiality obligations, and limitation of liability, shall survive.

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Dispute Resolution Process

In the event of any dispute arising from these Terms or our services, the parties agree to first attempt to resolve the matter through good faith negotiations. If negotiations fail, the parties may pursue mediation before resorting to litigation.

Jurisdiction

Any legal action or proceeding relating to these Terms shall be brought exclusively in the courts located in Ontario, Canada, and you consent to the jurisdiction of such courts.

General Provisions

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new effective date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

Entire Agreement

These Terms, together with any applicable service agreements, constitute the entire agreement between you and Quad Quality regarding our services and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
